Policy for Approaching the Legal Department
How do you approach the Legal Department or Initiate Legal requests to the Legal Department?
- What all contracts will it be applicable to?
This procedure is applicable to ALL contracts & contract templates which needs to be drafted, reviewed & finalised by the Legal Department.
- How can legal requests be generated?
You can generate Legal requests to the Legal Department.
- What should the Legal request contain?
For Client Specific Agreements:-
- The legal request should contain the “Type of Contract” which needs to be drafted, reviewed or finalised. If the Type of contract is “others” please mention the Type of Contract under Summary & Observations
- It should contain the “Type of work” which needs to be done by the Legal Department.
- Insert the Status as “Requested” and insert all the details such as Employee Name (requested by whom), Team or Department, Party type & Party Name (Applicable only for Client Specific Agreements not Applicable for Template Drafting)
- Under “Term & Signatory” please mention the following details:-
- Start Date of Agreement
- End Date of Agreement
- Signee on behalf of the Party with designation
- Term of the Agreement
- Party Address ( Registered Address of the Party)
- Once the Legal document is drafted, reviewed and finalized, the status will show as “Execution required” . This status depicts that the Agreement needs to be signed by the Client and us.
- Once the Agreement is signed by both the Parties, it will be documented in the Contract list) and the status will show as “Agreement documented”
For Templates/ Online Agreements:-
- The Department is requested to attach a “Summary” to the Legal Request in a form of document or can mention it under “Summary & Observation” of how the business transaction is going to take place with such types of clients.
- The Summary [in bullet points] primarily should contain the following but is not limited to:
- Purpose & Term of the Business
- Consideration and Payment Terms
- Timeline of the Transaction
- Standard Operating Procedures & Ways of Working between the Parties
- Roles and Responsibilities of Each Party (Concise)
- If any important clause ( Depending on the risk factor) specific to the transaction should also be mentioned.
- After finalization of the “Summary” and what all should be added to the legal document the Legal Document shall be drafted by the Legal Department.
- Once the Legal Document is drafted, it will be uploaded on the specific Legal Request which has been initiated and will be reviewed by the concerned persons.
- All Online Agreements and templates will be reviewed by the head of the respective department requesting or initiating the Legal request or any member from the Senior Management. The review shall be rated on the basis of comprehensiveness and simplicity. (minimum rating of 3 stars and above if approved)
- Once the status for the template/ Online Agreement shows the status as “Approved” it can be forwarded to the Clients or uploaded on the website.

- What do we mean by Client specific Agreement ?
Any legal document which has a “Party name” and the contract is drafted with respect to a particular Customer, Partner, Vendor, Consultant, Distributor etc.
- What do we mean by Templates ?
Any legal template which is new to the Frappe system and will be forwarded in the future for specific Clients for a specific business transaction are determined as templates.
- What do we mean by Online Agreements ?
Any legal document which will be uploaded on the website will be called as Online Agreements.
